Scope and contracting parties

These terms are intended for contracts between Elias Christian Frick, Abt-Reher-Straße 8/1, 88326 Aulendorf, Germany, and business clients within the meaning of Section 14 of the German Civil Code (BGB). The services are offered exclusively to business clients, not consumers.

“I” means Elias Christian Frick. “You” means the business commissioning the work. These terms become part of a contract only when their application has been agreed. Individually negotiated agreements take precedence.

Proposals and commissioning

Each project receives an individual proposal. A contract is formed by accepting the relevant offer. The agreed services and conditions determine the scope of the contract.

This website presents my services. Visiting it or booking the free automation workshop does not create a paid project order. Any subsequent work is agreed separately.

Scope of work and changes

The individual proposal defines the services. These may include process analysis, connecting existing software through APIs, implementing automations and developing custom software.

Whether the contract requires advice, a particular activity or a defined deliverable depends on the agreement. Before commissioning additional work, we agree how changes affect effort, fees and timing.

Collaboration and access

We agree which information, contacts, approvals and system access the project requires. You provide the agreed prerequisites and must be entitled to allow the supplied data, content and systems to be used for the project.

Access should be limited to the permissions needed. Test data, backups and approval for production use are agreed according to the project. If information or approvals are missing, we discuss the effect on the work and schedule.

Fees and payment

The individual proposal sets the price, billing model, any advance payments, payment deadlines and VAT treatment. These terms set no general hourly rate, deposit or payment deadline.

Paid third-party services and their recurring charges are agreed separately for the project. Statutory rules on fees and payment becoming due apply where no valid alternative has been agreed.

Review and handover

Review criteria, handover, documentation and any required acceptance follow the agreed scope and applicable statutory rules. Please describe any departures from the agreed result clearly enough for them to be investigated.

These terms do not provide for automatic acceptance through silence alone or shorten statutory rights concerning defects.

Usage rights and third-party software

Required usage rights in custom deliverables and any source-code handover are agreed in the proposal. If no express provision has been made, the statutory rules apply, including those concerning the purpose of the contract.

Third-party software, platforms and open-source components remain subject to their own licences and terms. Where their use is needed for the agreed solution, this is considered during project planning.

Maintenance and ongoing support

Ongoing maintenance, monitoring, hosting or support are included only to the extent agreed. Their scope, duration, fees and termination are specified separately.

Changes to external APIs or platforms may require adjustments. Whether these are covered by the project or a support agreement depends on that agreement. Statutory rights concerning defects remain unaffected.

Confidentiality and data protection

Each party uses the other party’s confidential information only for the collaboration and shares it only with people who need it for that purpose or where disclosure is legally required.

If I process personal data on your behalf in a project, an appropriate data processing agreement under Article 28 GDPR must be concluded before that processing begins. These terms do not replace that agreement.

Liability and statutory provisions

Statutory provisions govern liability, rights concerning defects, withdrawal and termination unless valid individual agreements provide otherwise. These terms contain no blanket exclusion of liability or shortening of statutory limitation periods.

Please email me if you have questions about a proposal or these terms.
